TERMS OF SERVICE

Welcome to CloudLogics. These Terms of Service (“Terms”) govern your access to and use of the website located at www.cloudlogics.org (the “Site”), as well as any cloud consulting, DevOps automation, or migration services provided by CloudLogics LLC (“CloudLogics,” “we,” “us,” or “our”).
By accessing our Site or utilizing our Services, you (the “User,” “Customer,” or “you”) agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity.
1. SERVICES AND SCOPE
CloudLogics provides high-level IT consulting, cloud infrastructure design, and application modernization. While these Terms govern general access, specific project deliverables and technical requirements will be governed by a separate Statement of Work (SOW) or Service Order. In the event of a conflict, the SOW shall prevail for that specific project.
2. USE OF THE SITE AND RESTRICTIONS
As a platform designed for IT professionals, Developers, and CTOs, we expect a high standard of conduct. You agree not to:
• Prohibited Conduct: Engage in any activity that interferes with or disrupts the Site or the servers and networks connected to the Site.
• Unauthorized Access: Attempt to gain unauthorized access to any portion of the Site, other accounts, or computer systems through hacking, password mining, or any other means.
• Automated Use: Use any robot, spider, or other automatic device to monitor or copy our web pages or the content contained therein without our prior express written permission.
3. INTELLECTUAL PROPERTY RIGHTS
• CloudLogics Content: All content on the Site, including text, graphics, logos, and “Project Accelerators” (proprietary automation scripts and reference architectures), is the property of CloudLogics and is protected by intellectual property laws.
• User License: We grant you a limited, non-exclusive, non-transferable license to access the Site for professional, non-commercial research and inquiry purposes.
• Deliverables: For customers engaged in professional services, ownership of custom code and configurations transfers upon full payment, subject to our retained rights in pre-existing methodologies and templates.
4. THE SHARED RESPONSIBILITY MODEL
Consistent with industry standards for AWS, Azure, and Google Cloud environments, CloudLogics operates under a Shared Responsibility Model. We are responsible for the integrity of the migration tools and architectural designs we provide. You are responsible for the security of your data, identity management, and guest operating system patching within the cloud environment.
5. LIABILITY TIERS
To reflect the varying risks associated with different levels of technical engagement, CloudLogics applies the following liability tiers:
Tier Engagement Level Liability Limit
I. Informational General Use of Site, Whitepapers, and Prototypes. $500 USD or the amount paid to access the Site (if any).
II. Professional Discrete Projects (Cloud Migration, UI/UX Design). 100% of the fees paid for the specific SOW in the 12 months preceding the claim.
III. Operational Managed Services and Continuous DevOps Support. 2x the average monthly fee paid for the Service during the preceding 12 months.
Exclusion of Indirect Damages: In no event shall CloudLogics be liable for any indirect, special, incidental, or consequential damages, including but not limited to loss of profits, loss of data, or business interruption, even if advised of the possibility of such damages.
6. DISCLAIMER OF WARRANTIES
THE SITE AND SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. CLOUDLOGICS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THIRD-PARTY CLOUD PROVIDER SERVICES (E.G., AWS, AZURE) WILL BE UNINTERRUPTED OR ERROR-FREE.
7. INDEMNIFICATION
You agree to indemnify and hold CloudLogics and its employees harmless from any claims, damages, or expenses (including attorney’s fees) arising out of your use of the Site, your violation of these Terms, or your infringement of any intellectual property or other rights of any person or entity.
8. DATA PRIVACY
Your use of the Site and Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review it to understand our practices regarding the collection and use of your information.
9. GOVERNING LAW AND JURISDICTION
These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. You agree that any legal action or proceeding shall be brought exclusively in the state or federal courts located in Harris County, Texas.
10. MODIFICATIONS TO TERMS
CloudLogics reserves the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on the Site with a new “Last Updated” date. Continued use of the Site or Services following such changes constitutes your acceptance of the new Terms.
